These Refer & Earn Programme Terms (“Programme Terms”) govern participation in Arkchat’s referral and reward programme (“Programme”).
The Programme is operated by Arkchat and is subject at all times to the Arkchat Terms of Service, Privacy Policy, and any other applicable policies (together, the “Master Terms”).
By participating in the Programme, you agree to these Programme Terms.
The Programme allows eligible Arkchat users to earn rewards by referring new users to Arkchat.
Participation in the Programme is optional, discretionary, and does not create any guaranteed entitlement to rewards, payouts, or continued participation.
2.1 Only users with an active Arkchat Personal Account may participate in the Programme.
2.2 Participation is always linked to the individual user who accepted the Arkchat Terms of Service. Workspaces, communities, organisations, brands, or affiliates are not parties to this Programme unless governed by a separate written agreement.
2.3 Arkchat may approve, reject, suspend, or terminate participation in the Programme at its sole discretion, without notice.
3.1 Referrals are attributed to the Personal Account from which the referral link is generated.
3.2 Where a user creates or uses a Workspace representing a community, organisation, brand, or affiliate, referrals may be tracked against that Workspace solely for reporting and attribution purposes.
3.3 Such attribution:
— does not create a contractual relationship between Arkchat and the community, organisation, or brand;
— does not create any partnership, agency, joint venture, or representation;
— does not guarantee any specific reward rate, duration, or payout.
3.4 Any special commercial terms for communities or affiliates must be governed by a separate written agreement with Arkchat.
4.1 A referral qualifies only if:
— the referee signs up using a valid referral link;
— the referee purchases a qualifying Arkchat subscription; and
— the referee maintains an active, uninterrupted paid subscription for the applicable qualifying period.
4.2 For monthly subscriptions, rewards accrue only while the subscription remains active without interruption.
4.3 For yearly subscriptions, rewards are credited once, at the time of purchase.
4.4 No rewards are payable for:
— Self-referrals;
— duplicate, fake, or temporary accounts;
— internal team members added to the same Workspace;
— referrals generated through fraud, automation, or manipulation;
— users added as internal members rather than external collaborators.
5.1 Reward rates are calculated based on the rate applicable at the time the reward is earned.
5.2 Arkchat does not guarantee any minimum reward percentage, reward value, or reward duration.
5.3 Arkchat may, at any time and without prior notice:
— change reward percentages or values;
— introduce, modify, or remove reward tiers;
— limit rewards to specific periods, campaigns, or user categories;
— discontinue rewards for any category of referrals.
5.4 No rewards vest or accrue as a permanent or lifetime entitlement.
6.1 Participants must select one reward mode at the time of entering the Programme:
— Cash Mode, or
— Credit Mode.
6.2 The selected reward mode:
— is mandatory;
— is irreversible;
— cannot be converted or changed later.
6.3 Cash rewards:
— are subject to minimum payout thresholds, which may be set, increased, decreased, or changed by Arkchat at any time without notice;
— are subject to verification, compliance checks, and applicable taxes.
6.4 Credit rewards:
— have no cash value;
— are non-transferable;
— may be used only towards eligible Arkchat services as determined by Arkchat.
6.5 Arkchat may impose, without prior notice:
— minimum intervals between reward claims or payouts;
— cooling-off periods;
— batching or scheduled payout cycles;
— delays for verification, fraud review, or compliance purposes.
6.6 Arkchat is under no obligation to process rewards immediately upon accrual or request.
7.1 All rewards belong solely to the participating user’s Personal Account.
7.2 Rewards:
— cannot be transferred to another Arkchat account;
— cannot be assigned to a Workspace;
— cannot be sold, gifted, or exchanged.
7.3 Referral rewards generated through external collaborator invitations are credited in accordance with Arkchat’s platform rules and do not alter subscription or ownership rights.
7.4 External Collaborator Invitations
Where an external collaborator is invited to Arkchat by any internal member of a Workspace, any referral reward arising from such invitation shall be credited solely to the Workspace owner’s Personal Account, regardless of which individual user initiated the invitation.
8.1 Participants are solely responsible for all taxes, duties, and reporting obligations arising from rewards earned.
8.2 Arkchat may withhold taxes or require documentation where legally required.
9.1 Arkchat may withhold, cancel, suspend, or claw back rewards if it detects or reasonably suspects:
— fraud or abuse;
— Misrepresentation;
— manipulation of subscriptions or referrals;
— violation of these Programme Terms or the Master Terms.
9.2 Arkchat’s determination shall be final and binding.
10.1 Arkchat may modify, suspend, or terminate the Programme at any time, with or without notice.
10.2 Upon modification, suspension, or termination:
— all pending or unclaimed rewards automatically lapse;
— no compensation, damages, or claims shall arise.
10.3 If Arkchat discontinues its Services or ceases operations, all pending or unclaimed rewards shall automatically lapse without liability.
11.1 Arkchat does not guarantee that any participant will earn rewards.
11.2 Rewards depend entirely on referee behaviour, subscription continuity, and Arkchat’s discretionary Programme rules.
12.1 Any liability arising out of or relating to the Programme shall be subject to the limitations of liability set out in the Arkchat Terms of Service.
12.2 Arkchat shall not be liable for indirect, incidental, consequential, or economic losses, including lost profits or missed referral opportunities.
You agree to indemnify and hold harmless Arkchat from any claims, losses, or disputes arising from:
— your participation in the Programme;
— representations made by you to referees;
— violation of these Programme Terms or the Master Terms.
Nothing in the Programme creates a partnership, agency, employment, fiduciary, or joint venture relationship between you and Arkchat.
These Programme Terms are governed by and incorporated into the Arkchat Terms of Service. All disputes shall be resolved strictly in accordance with the governing law, arbitration, cost allocation, limitation periods, and dispute resolution provisions set out in the Arkchat Terms of Service.
Arkchat may update these Programme Terms at any time. Continued participation constitutes acceptance of the updated terms.
